Factual summary

Sets the rules for applying Qualifying Group relief under Article 26 of the Corporate Tax Law. It defines which equity instruments count as an ownership interest, requires the Transferor to elect the relief in its Tax Return (an irrevocable election that then covers all its qualifying capital-account transfers), and treats an asset-for-asset exchange as two transfers. It also sets when a deferred gain or loss is brought back into tax on a later transfer outside the group or exit from the group, and requires both parties to keep records.

What it means in practice Professional insight

Who: groups moving assets or liabilities between members. What to check: that the election is made in the Tax Return for the period of the transfer, the ownership interest is equity under the Accounting Standards, and later exits or onward transfers are tracked.

Key provisions

  • Art. 2 For Art. 26 of the Corporate Tax Law, an ownership interest includes Ordinary Shares, Preferred Shares, Redeemable Shares, Membership and Partner Interests and other securities, capital contributions and rights entitling the owner to profits and liquidation proceeds, but only if classified as equity under the holder's Accounting Standards; an equity-classified Islamic Financial Instrument also counts, and the ownership percentage is measured against total paid up capital or total equity contributions.
  • Art. 3(1) The Transferor must elect, in the form and manner prescribed by the FTA, to apply Art. 26 to a transfer meeting its conditions; the election is made when the Tax Return is submitted for the Tax Period in which the transfer occurs (Art. 3(2)).
  • Art. 3(3) The election is irrevocable and applies to the Tax Period in which it is made and all subsequent Tax Periods, unless the FTA, on the Taxable Person's application, determines otherwise; once made, Art. 26 applies to all transfers by the Transferor of capital-account assets and liabilities (Art. 20(4)(a) and (b)) that meet its conditions (Art. 3(4)).
  • Art. 4 Where the consideration is another asset or liability, the exchange is treated as two separate transfers; Art. 26 and the decision on the general rules for determining taxable income apply to each transfer where at least one of the parties has elected.
  • Art. 5 A gain or loss under Art. 26(5) is taken into the Transferor's Tax Return for the Tax Period in which the asset or liability is transferred outside the Qualifying Group or the parties cease to be members of the same group; it is attributed to the Transferee if the Transferor has ceased to be a Taxable Person; a partial transfer is treated proportionately, and the Transferee reverses earlier depreciation, amortisation or value adjustments.
  • Art. 6 For Art. 56 of the Corporate Tax Law, both the Transferor and the Transferee keep a record of the transfer agreement at the value prescribed under Art. 26 and of the adjustments required under the decision on the general rules for determining taxable income.
